Terms of Service
These Terms of Service (“Terms”) are an agreement between you and OrashCat LLC, a New Mexico limited liability company (“EveryHello,” “we,” “us,” or “our”). By creating an account, accepting an order, or using EveryHello, you agree to these Terms. If you use EveryHello for an organization, you represent that you are authorized to bind that organization.
1. The service
EveryHello is an AI front desk that can handle customer interactions through supported channels, including WhatsApp and web chat. Features may include appointment booking, a shared inbox, customer context, team handoff, WhatsApp line management, knowledge sources, and integrations.
AI-generated responses may be incomplete, inaccurate, or unsuitable for a particular situation. You are responsible for configuring, monitoring, and reviewing the service and for deciding when a person must take over. EveryHello is not an emergency service and must not be used to contact 911 or any other emergency provider.
2. Accounts and authorized users
You must be at least 18 years old and able to enter a binding contract. Account information must be accurate and current. You are responsible for your credentials, authorized users, account activity, and promptly notifying us of suspected unauthorized access.
3. Your responsibilities
You are responsible for:
- the content, knowledge, instructions, contact lists, and data you provide;
- having all rights, notices, permissions, and consents needed to process customer data and communicate through each channel;
- honoring opt-outs and complying with applicable privacy, consumer-protection, and messaging laws;
- complying with WhatsApp Business, template, opt-in, and third-party platform rules;
- reviewing sensitive or high-impact communications before relying on them.
You may not use EveryHello for unlawful, deceptive, harassing, discriminatory, fraudulent, or unsolicited communications; to impersonate another person; to interfere with the service; or to infringe anyone’s rights.
4. Regulated and sensitive data
EveryHello is not currently offered as a HIPAA-compliant service, and we do not enter into Business Associate Agreements. You must not use EveryHello to create, receive, maintain, or transmit protected health information. You must also avoid submitting payment-card data, government identification numbers, account credentials, or other highly sensitive information unless a feature expressly supports it.
5. Plans, usage, and payment
Paid plans renew monthly or annually until canceled. Fees are quoted and charged in US dollars unless an order says otherwise. Annual plans are priced at the equivalent of ten monthly payments. Included usage resets monthly, including on annual plans, in the workspace's configured local timezone and does not roll over.
Business-initiated WhatsApp templates, campaigns, additional WhatsApp lines, and Meta pass-through charges may be billed separately. Included automation pauses at plan limits unless a written order adds capacity.
Taxes are added when required. You authorize our payment processor to charge the payment method on file. We may suspend paid features after failed or overdue payment. Unless required by law or stated in an order, paid fees are nonrefundable. You can cancel before renewal; access continues through the paid period. Plan changes require support review so existing WhatsApp lines, users, calendars, and channel capacity can be reconciled safely.
6. Channels and third-party services
WhatsApp, messaging networks, AI providers, booking systems, and other integrations are operated in part by third parties. Availability, registration, deliverability, throughput, and geographic coverage may depend on those providers and local rules. We do not guarantee that any specific account, channel route, integration, or third-party service will remain available.
When paid access ends after cancellation, we may deactivate connected channels and revoke related provider access after the retention period described in our service process. Reconnecting later may require a new authorization with the relevant provider.
7. Customer data and privacy
As between you and EveryHello, you retain your rights in customer data. You grant us a limited right to host, process, transmit, and display that data as needed to provide, secure, support, and improve the service. Our Privacy Policy explains how we handle personal information.
8. Intellectual property and feedback
EveryHello and its software, interfaces, branding, and documentation belong to us and our licensors. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable right to use the service during your subscription. If you provide feedback, we may use it without restriction or obligation.
9. Suspension and termination
We may suspend or restrict access when reasonably necessary to protect the service, comply with law or provider requirements, address nonpayment, or respond to a material breach. Either party may terminate as allowed by an order or these Terms. Provisions that by their nature should survive will remain in effect.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE AI OUTPUTS, MESSAGE DELIVERY, APPOINTMENTS, REVENUE, COST SAVINGS, OR ANY OTHER BUSINESS RESULT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO EVERYHELLO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where they are prohibited by law.
12. Indemnification
You will defend and indemnify EveryHello from third-party claims arising from your data, your communications, your violation of law or third-party rules, or your breach of these Terms, except to the extent caused by EveryHello’s own conduct.
13. Changes
We may update the service and these Terms. For material changes, we will provide reasonable notice through the service, by email, or on this page. Changes apply prospectively from their stated effective date.
14. Governing law
New Mexico law governs these Terms, without regard to conflict-of-law principles. The state and federal courts located in New Mexico will have exclusive jurisdiction, except where applicable law requires another forum.
